Collabra Technology, Inc. its subsidiaries, Proxio Inc., HomeDebut, Inc., et al., (hereafter may be referred to as Collabra Technology and/or Collabra) regularly maintains, audits and updates our Privacy Policy.  The current effective date for our Privacy Policy is August 10, 2018.

Collabra Technology, Inc., respects and is committed to your privacy and confidence in our control of your private information. Our privacy policy describes the information collection practices that Collabra Technology, Inc. and its respective products (“Collabra Technology,” “we,” “us,” or “our,”) follow when handling Personal Information that we collect or receive in conducting our business, including through the use of our products, subscriptions, services, website(s) and proprietary enterprise collaboration platform.

Collabra Technology, Inc. in the United States participates in the EU-U.S. and Swiss-U.S. Privacy Shield Frameworks. Collabra Technology, Inc. is a company with international operations and customers. We have developed global data security practices designed to ensure that personal information is appropriately protected. If there is any conflict between the terms in this Privacy Policy and the Privacy Shield Principles, the Privacy Shield Principles shall govern.

When you submit Personal Information to Collabra Technology, Inc. you are consenting to the transfer of the Personal Information to the United States or other jurisdictions which may be outside of the jurisdiction in which you reside and which may not provide the same protections and use restrictions on Personal Information as your jurisdiction of residence. Collabra Technology, Inc.’s participation in the Privacy Shield applies to all Personal Information received in the United States from the European Union.

Collabra Technology, in its entirety, is a duly compliant entity within the EU-U.S. and Swiss-U.S. Privacy Shield Frameworks as set forth by the U.S. Department of Commerce regarding the collection, use, and retention of personal information from European Union member countries. Collabra Technology has certified to the Department of Commerce that it adheres to the Privacy Shield Principles of notice, choice, onward transfer, security, data integrity, access, and the enforcement powers of the U.S. Federal Trade Commission (FTC). We will investigate and will do our best to internally resolve any complaints and disputes you bring to our attention regarding the use and disclosure of your Personal Information.  If you do not receive timely acknowledgment of your complaint from us, or if we have not addressed your complaint to your satisfaction (within 45 days), or you are an EU or Swiss data subject (citizen) with an unresolved complaint or dispute arising under the requirements of the Privacy Shield, we agree to refer your complaint under the Privacy Shield to an independent dispute resolution mechanism.

Collabra Technology has chosen JAMS (https://www.jamsadr.com/eu-us-privacy-shield) as our alternative dispute resolution independent recourse mechanism (ADR) for any privacy claims that require next level arbitration.

The services of the JAMS are provided at no cost to you.  As further explained in the EU-U.S. and Swiss-U.S.Privacy Shield Principles, a binding arbitration option will also be made available to you in order to address residual complaints not resolved by any other means.

EU and Swiss data subjects may invoke binding arbitration before the Privacy Shield Panel jointly created by the U.S. Department of Commerce and the European Commission.

DEFINITIONS

Personal Information” means any information (including information received by an organization in the United States from the European Union, and recorded in any form) relating to an identified individual, or to an individual who can be identified, directly or indirectly, by reference to such information, which may include, an identification number or one or more factors specific to his or her physical, physiological, mental, economic, cultural or social identity.  Without limiting the foregoing, Personal Information does not include information that is de-identified or corporate information that relates to an organization but not to an individual, such as a corporate name, corporate address or general corporate phone number.

Data Controller” means the natural or legal person, public authority, agency or other body which, alone or jointly with others, determines the purposes for which and the manner in which any Personal Data are to be processed.

Data Processor” means a third party that processes Personal Information on behalf of and pursuant to the instructions of Collabra Technology.

Data Subject” an individual who is the subject of the Personal Data (EU Personal Data.)

Processing” of personal data means any operation or set of operations which is performed upon personal data, whether or not by automated means, such as collection, recording, organization, storage, adaptation or alteration, retrieval, consultation, use, disclosure or dissemination, and erasure or destruction.

AUDITING AND RE-CERTIFICATION

Collabra Technology will conduct periodic internal compliance audits of our relevant privacy practices to verify adherence to this Privacy Policy.  Collabra Technology (on an annual basis) will affirm our commitment to continue to apply the Principles as set forth in the Privacy Shield Framework by completing our recertification to the EU-U.S. and Swiss-U.S. Privacy Shield Frameworks.

INFORMATION SECURITY

Collabra Technology will take appropriate precautions to protect your Personal Information in our possession from loss, misuse, and unauthorized access, disclosure, alteration or destruction.  From wherever collected or the process used, all information is encrypted, transmitted (data in motion) and stored (data at rest) by secure means.  We will make reasonable efforts to keep your Personal Information reliable for its intended use, accurate, current and complete.  As necessary, we will take additional precautions regarding the security of information, such as tokenization for credit card information.  While we aim to secure your Personal Information, we cannot guarantee that this information will be protected under all circumstances, including those beyond our control.

Collabra Technology will remain responsible for our collection, use, and disclosure of Personal Data in accordance with the Privacy Shield.  Our accountability for personal data that we receive under the Privacy Shield and subsequently transfer to a third party is described in the Privacy Shield Principles.  In particular, we remain responsible and liable under the Privacy Shield Principles if third-party agents that we engage to process personal data on our behalf do so in a manner inconsistent with the Principles, unless we prove that we are not responsible for the event giving rise to the damage.  In certain situations, we may be required to disclose Personal Data in response to lawful requests by public authorities, including meeting national security or law enforcement requirements.

Collabra Technology does not knowingly or intentionally collect information commonly referred to as Sensitive Information, for example, medical or health conditions, racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership or sexual orientation.  Please do not submit sensitive personal information about you to us.

Collabra Technology products, subscriptions, services, website(s) and proprietary enterprise collaboration platform are intended for business use.  We do not knowingly collect or solicit Personal Data from anyone under the age of 18.  If you are under 18, please do not attempt to register for the Sites or send any Personal Data about yourself to us.  If we learn that we have collected Personal Data from a child under age 18, we will delete that information as quickly as possible.  If you believe that a child under 18 may have provided us Personal Data, please contact us at privacy@collabratechnology.com be sure to include Privacy Policy in the subject line.

NOTICE

We are the sole owners of the information collected through the use of our products, subscriptions, services, website(s) and proprietary enterprise collaboration platform.  We only have access to collect or receive information that you voluntarily (consent to) give us through our marketing and sales efforts of our business, or through the use of our products, subscriptions, services, website(s) and proprietary enterprise collaboration platform and via email or other direct contact from you.  We will not sell or rent this information to anyone.

We will use your information to respond to you, regarding the reason you contacted us.  We will not share your information with any third party outside of our organization, other than as business necessary or to fulfill your request, such as, processing payment for an order or request for information.

Unless you ask us not to, we may contact you via email in the future to tell you about specials, new products or services.

CONSENT

Please note that in some circumstances, we may not be able to fully comply with your request, such as if it is frivolous or extremely impractical, if it jeopardizes the rights of others, or if it is not required by law, but in those circumstances, we will still respond to notify you of such a decision.

We reserve the right to take reasonable steps to authenticate the identity of any individual seeking access to Personal Information.  In some cases, we may also need to you to provide us with additional information, which may include Personal Data, if necessary, to verify your identity and the nature of your request.

Rectification
If you believe that any Personal Data we are holding about you is incorrect or incomplete, you can request that we correct or supplement such data.  Contact us at privacy@collabratechnology.com to make such corrections.

Erasure
“The right to be forgotten” You can request by email at privacy@collabratechnology.com that we erase some or all of your Personal Data from our systems.

Withdrawal of Consent
If we are processing your Personal Data based on your consent, you have the right to withdraw your consent at any time.  Please note, however, that if you exercise this right, it may disable some, or all, functional use of our products, subscriptions, services, website(s) and proprietary enterprise collaboration platform.  Withdraw your consent by email at privacy@collabratechnology.com.

Portability

Restriction of Processing

If you receive a marketing communication from us by email, you may also opt out of receiving future email marketing communications by following the opt-out instructions provided in that email.  Please note that we reserve the right to send you certain communications relating to transactions you initiate, your customer account, your use of our Sites, or other business matters, and that these communications may be unaffected if you choose to opt-out from marketing communications.

In accordance with our record keeping and applicable law, we may delete certain records that contain your Personal Information.  We are under no obligation to store such information indefinitely, and we disclaim any liability arising out of, or related to, the destruction of that information.  In addition, you should be aware that it is not always possible to completely remove or delete all of your information from our databases without some residual data because of backups and other reasons.  Also, if you have posted any User Submissions to a Community Forum, these communications cannot generally be removed.

Usage Information is typically anonymous information; however, if it is combined with your Personal Information in a manner that reasonably allows it to be associated with your identity, or is otherwise considered Personal Information under applicable law, it will be treated as Personal Information under this Privacy Policy, and, will be considered Personal Data and subject to EU-U.S. and Swiss-U.S. Privacy Shield Frameworks.

We use common methods and technologies to collect and store Usage Information about your interaction with our products, subscriptions, services, website(s) and proprietary enterprise collaboration platform.  These Analytic Technologies may be downloaded to the personal computer, laptop, tablet, mobile phone, or similar device that you use to access our products, subscriptions, services, website(s) and proprietary enterprise collaboration platform.  The Analytic Technologies that we may use are as follows:

Do Not Track Policy
Your browser(s) may offer you a “Do Not Track” option, which allows you to signal to operators of websites and web applications and services that you do not wish such operators to track certain online activities over time and across different websites.

Analytics
We use analytics applications to collect information about the use of our products, subscriptions, services, website(s) and proprietary enterprise collaboration platform.  Analytics collect information such as how often users visit, what pages they visit when they do so, and what other websites they visited prior to coming to a website.  We use the information obtained from these applications only to improve our products, subscriptions, services, website(s) and proprietary enterprise collaboration platform.

Web Beacons
A web beacon, including tracking pixels, is a small graphic image or other web programming code, also known as “1×1 GIF” or “clear GIF.”  We may download web beacons to Your Device when you access our products, subscriptions, services, website(s) and proprietary enterprise collaboration platform or through email messages that we send to you.  Web beacons are used to improve your experience on our Sites.  Web beacons also help us to understand whether users read email messages and click on the links contained within those messages so that we can deliver relevant content and messages.  Our web beacons may collect certain of your contact information (e.g., the email address associated with an email message that contains a web beacon).

Embedded Scripts
An embedded script is a programming code that is designed to collect information about your interactions with our products, subscriptions, services, website(s) and proprietary enterprise collaboration platform, such as which links you click on, which type of browser or device you use (e.g. mobile or desktop version).  We use this information to enhance the user experience.  This code is downloaded onto Your Device when you access our products, subscriptions, services, website(s) and proprietary enterprise collaboration platform and is deactivated or deleted when you leave. Identification of the user does not take place.

Information we receive from third parties
We may receive Personal Information about you from third parties who recommend or suggest that we contact you for business purposes.  This includes basic contact information about you, such as your name, company name, title, address, phone number, fax number, and email address.  It may also include information on the content, products, or services you have shown interest in or may be interested in purchasing from us, as well as information on other companies or individuals with whom you do business.  We may also obtain Personal Information about you from third parties in connection with business transactions you initiate or other processes related to the transaction.  This Personal Information, if obtained, will be treated in accordance with this Privacy Policy.

HOW WE USE YOUR INFORMATION

Business Use

WITH WHOM WE MAY SHARE YOUR INFORMATION

Within the business operation of Collabra Technology
Collabra Technology is a company that transacts business across national borders. Accordingly, from time-to-time and subject to the provisions of this Privacy Policy governing CHOICE AND UPDATING YOUR INFORMATION AND PREFERENCES, we may share your Personal Information and Usage Information within Collabra Technology (i.e., between and among Collabra Technology its business units).  Such information may be used by each Collabra Technology entity for internal business and operational purposes, as well as for purposes consistent with the purpose for which the information was originally collected and subsequently authorized, by you, for our use.

Outside of the Collabra Technology business operation
We may share your Personal Information with “Data Processors” as described below, and with other third parties for purposes disclosed to you at the time you provided the information, or as subsequently authorized by you.  From time to time, we also may offer you the option of sharing your Personal Information with third parties in order to receive information and/or marketing offers from them or other persons.  If you consent to the sharing of your Personal Information for these purposes, it will be subject to the privacy policies and business practices of those third parties.  If you later decide that you no longer want us to share Personal Information with such third parties, please contact us as indicated below under the section CHOICE AND UPDATING YOUR INFORMATION AND PREFERENCES.  We will process your request in a reasonable period of time.  Note, however, that if you no longer wish to receive communications from a third party which has already received your Personal Information from us, you will need to contact that third party directly to inform them of this.

Data Processors
We may, from time to time, employ Data Processors to perform services on our behalf, such as: (1) hosting our Sites, products, and other applications; (2) designing and/or operating certain features available through our Sites; (3) sending emails and other communications relating to our products or services; (4) fulfilling and processing orders for our products or services; (5) assisting with promotions and conferences relating to our products or services, or those of our business partners; (6) providing analytic services, such as in relation to the tracking of usage of our Sites; or (7) performing other administrative services for us.  We may provide these Data Processors with access to your Personal Information in order for them to complete a requested transaction or otherwise perform services for us or for you on our behalf.  Prior to allowing our Data Processors to access your Personal Information, we will enter into a data protection agreement or addendum with them to ensure that they handle and process the information in accordance with our Privacy Policy and applicable regulations as instructed by us.
